1. Agreement to Terms

By accessing or using our landing page, consumer mobile/web application, or merchant web application (collectively, our "Services"), provided by MeenWise Sdn. Bhd. ("Company", "we", "us", "our"), a company incorporated in Malaysia, you agree to be bound by these Terms of Use ("Terms"). These Terms legally bind you to follow all guidelines and rules concerning your use of our Services. If you do not agree to these Terms, you must immediately cease all use of our Services.

2. Description of Services and Role

Jong AI provides a unified, AI-driven marketplace interface that enables users ("Consumers") to interact with, search, and procure services from various independent, third-party digital service providers ("Merchants"). These services include, but are not limited to, e-commerce, food delivery, ride-hailing, accommodation, and booking services. For Merchants, Jong AI offers a specialized platform to manage their business, including automated onboarding, inventory management, and sales analytics, facilitated by an AI Assistant.

Our Role as a Technology Platform: We act solely as a technology service provider and marketplace facilitator. When a Consumer places an order or books a service, the contract is directly between the Consumer and the Merchant. We are not a party to the underlying transaction and hold no liability for the quality, safety, delivery, or legality of the goods or services provided by the Merchants.

3. User Accounts and Security

To access certain transactional or personalized features of our Services, you may be required to create and maintain an account. You represent that all information provided to us is accurate and truthful. You are solely responsible for safeguarding your account information and for all activities that occur under your account, regardless of whether you authorized such activities. You agree to notify us immediately of any unauthorized use, security breaches, or suspected breach of your account.

Identity Verification: We reserve the right to require identity verification or biometric authentication for high-value transactions or sensitive AI-driven actions to ensure account integrity and prevent fraud.

4. AI Use, User Conduct, and Responsibilities

You agree not to use the Services, including the AI chat interface, to:

• Submit false, misleading, or inaccurate information or fraudulent requests.
• Attempt to reverse-engineer, scrape, or otherwise extract data, algorithms, or the output of our AI Agents.
• Engage in any illegal, abusive, harassing, or fraudulent activity.
• Violate the rights of others, including intellectual property rights.
• Use the AI for malicious purposes or to generate harmful, libelous, or defamatory content.

Any data or content generated by the AI Agents in response to a user's prompt (text, images, metrics) is provided for informational and transactional purposes only. You are responsible for verifying the accuracy of any critical information before acting on it.

5. Merchant and Partner Terms

Merchants using our platform warrant they possess all necessary licenses and permits to sell their products and services and agree to provide accurate, up-to-date information regarding inventory, pricing, and service availability. Merchants are solely responsible for fulfilling orders placed by Consumers through the Services in a timely and professional manner.

By providing your existing documents, catalogs, pricing sheets, and historical sales data to our AI for automated ingestion and onboarding, you grant us a permanent, royalty-free license to process, store, and display this content within our Services, as well as use this data (in anonymized and aggregated form) to improve our AI models and analytical capabilities.

6. Fees, Payments, and Financial Terms

Our revenue model is based on a transactional basis and includes, but is not limited to, commission fees on sales, advertising fees, and subscription fees for enhanced Merchant/Consumer tools. By using the Services, you agree to pay all applicable fees as described at the time of the transaction or subscription.

All payments are processed through secure, third-party payment gateways. We are not liable for any issues arising from the processing of payments, including chargebacks, fraud, or network errors. We reserve the right to modify our fee and commission structures upon providing reasonable notice.

7. Intellectual Property

The Services, including all text, graphics, logos, source code, data models, AI Agent architecture, trademarks (Jong AI), and underlying functionality are and will remain the exclusive intellectual property of MeenWise Sdn. Bhd. and its licensors. You agree not to reproduce, duplicate, copy, sell, or exploit any portion of the Service without our express written permission.

8. Disclaimers and Limitation of Liability

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Services, the AI output, or the quality of any products/services obtained through the Services will meet your expectations.

LIMITATION OF LIABILITY: IN NO EVENT SHALL MeenWise Sdn. Bhd. BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY (INCLUDING MERCHANTS) ON THE SERVICES; (III) ANY CONTENT OR OUTPUT GENERATED BY THE AI AGENTS; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

9. Termination

We may terminate or suspend your account and bar access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms, engage in fraudulent activity, or misuse the AI chat functionality. Upon termination, your right to use the Services will immediately cease.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of Malaysia, including those pertaining to e-commerce and digital services, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located within Malaysia to resolve any legal matter arising from the Terms.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide reasonable notice of any material changes by posting the new Terms on this page and updating the "Last Updated" date. By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms.
